Terms of Service

Effective Date: January 1, 2025

These Terms of Service constitute a legally binding agreement between Cybersecurity in A Box and our clients regarding the use of our cybersecurity services.

Important: These Terms of Service ("Terms") constitute a legally binding agreement between Cybersecurity in A Box ("Company," "we," "us," or "our") and you ("Client," "you," or "your") regarding your use of our cybersecurity education, consultation, and protection services ("Services"). By accessing or using our services, you agree to these terms.

1. Description of Services

We provide cybersecurity education (including training content, presentations, and videos), consultation, and protection services tailored for micro and small businesses. The scope of services is defined in individual proposals, statements of work ("SOW"), or service orders agreed upon with each client.

2. Account Registration and Security

  • • You may be required to create an account to access certain services.
  • • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Acceptable Use

You agree not to:

  • • Use our services for unlawful, harmful, or fraudulent activities.
  • • Attempt to gain unauthorized access to our systems or interfere with the proper functioning of our services.
  • • Use our content or materials for commercial purposes without our written consent.

4. Fees and Payment

  • • Fees for services are outlined in the relevant SOW or service order.
  • • Payment terms are net 30 days from the invoice date unless otherwise specified.
  • • Failure to pay may result in suspension or termination of Services.

5. Intellectual Property

  • • All content, training materials, software, and technology provided by us remain our intellectual property unless otherwise agreed in writing.
  • • You are granted a limited, non-exclusive, non-transferable license to use materials solely for your internal business purposes during the term of the agreement.

6. Client Responsibilities

  • • You are responsible for ensuring your systems are updated and patched as required.
  • • To ensure effective service delivery, accurate information and reasonable cooperation are required from you.
  • • You are responsible for securing your own data and systems unless otherwise specified.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement, except as required by law.

8. Data Protection and Privacy

  • • We process personal data in accordance with the Data Privacy Act of 2012 and GDPR as required.
  • • You are responsible for obtaining any necessary consents for us to process data on your behalf.

9. Third-Party Links and Services

Our services may include links to third-party websites or services. We are not responsible for the content or practices of these third parties. Rest assured that we have done the requisite due diligences and reviews to make them our partners.

10. Warranties and Disclaimers

  • • We will provide services with reasonable care and skill.
  • • Except as expressly stated, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

11. Limitation of Liability

  • • We are not liable for indirect, incidental, or consequential damages arising from your use of our services.
  • • Our total liability for any claim is limited to the amount paid by you for the relevant services in the preceding 12 months.

12. Term and Termination

  • • These terms remain in effect until terminated by either party.
  • • Either party may terminate with 30 days' written notice or immediately for material breach or insolvency.
  • • Upon termination, you must cease using our services and return or destroy any proprietary materials.

13. Changes to Terms

We may update these terms from time to time. Continued use of our services after changes become effective constitutes your acceptance of the new terms.

14. Governing Law and Dispute Resolution

These terms are governed by the laws of the Philippines. Any disputes will be resolved through arbitration or mediation in the appropriate jurisdiction within the Philippines.
